1. Membership Eligibility
Membership in the Bangkok Startup Association ("BSA" or "the Association") is open to individual entrepreneurs and startup professionals, all stages startup companies, and organizations supporting the startup ecosystem (including investors, service providers, and corporate partners). Applicants should demonstrate alignment with BSA's mission to support and grow Thailand's startup ecosystem, operate in compliance with Thai laws and regulations, and agree to abide by BSA's Code of Conduct and these Terms and Conditions.
The Association reserves the absolute and sole discretion to approve, reject, or defer any membership application for any reason or no reason, without obligation to provide explanation or justification. The Association is not obligated to accept any application, even if eligibility criteria are met, and no applicant shall have any right or entitlement to membership prior to formal written acceptance by the Association. The Association may request additional information or documentation during the review process. Any application or processing fees paid are non-refundable regardless of the application outcome.
2. Membership Tiers and Access
The Association offers multiple membership tiers with varying levels of access to benefits, services, and resources. Each Member's access to BSA events, workshops, programs, partner benefits, discounts, and the member directory is determined by and limited to the specific membership tier selected and paid for at the time of application or renewal. Membership benefits are subject to availability and may vary by tier, and the Association reserves the right to modify, add, remove, or discontinue any benefits, programs, or tier structures at any time with or without notice. The Association makes no guarantee that any specific benefit, event, or resource will be available to any membership tier, and Members acknowledge that benefit descriptions are illustrative rather than contractual commitments. Members may upgrade to a higher tier by paying the applicable fee difference, subject to the Association's approval, but downgrades or refunds for tier changes are not permitted. Access to tier-specific benefits is non- transferable and terminates immediately upon membership expiration, suspension, or termination.
3. Use of the Member Directory
The Association provides Members with access to the member directory ("Directory"), which may contain contact information, business details, and profiles of other Members. Access to the Directory is granted solely for legitimate community-building purposes, including networking, collaboration, knowledge-sharing, and fostering connections within the startup ecosystem. Members expressly agree not to use Directory information for unsolicited commercial marketing, spam, bulk email campaigns, automated data extraction or scraping, sale or transfer of contact details to third parties, or any purpose unrelated to the Association's mission. Members acknowledge that all Directory information remains the property of the Association and individual Members, and unauthorized use constitutes a material breach of these Terms and Conditions. The Association reserves the right to immediately revoke Directory access, suspend or terminate membership, and pursue legal remedies including injunctive relief and damages for any misuse of Directory information. Members found in violation may be held liable for damages incurred by affected Members or the Association.
4. Partner Benefits and Third-Party Services
Certain membership benefits are provided through partnerships with third-party service providers, vendors, and sponsors ("Partners"), and access to such partner benefits may be exclusive to specific membership tiers. Members acknowledge that partner benefits require direct contact and separate arrangements with Partners to redeem, and the Association acts solely as a facilitator of introductions and does not operate as an agent, representative, or guarantor of any Partner. The Association makes no representations, warranties, or guarantees regarding the availability, quality, accuracy, reliability, continuity, or value of any partner benefits, and Partners may modify, suspend, or terminate their offerings at any time without notice or liability to the Association. Members use partner benefits entirely at their own risk and discretion, and the Association expressly disclaims all liability for any claims, disputes, losses, damages, or dissatisfaction arising from interactions with Partners or use of partner benefits. The Association is not responsible for Partner performance, service quality, delivery delays, pricing changes, or any acts or omissions of Partners. All disputes regarding partner benefits must be resolved directly between the Member and the applicable Partner, and Members agree to indemnify and hold the Association harmless from any claims arising from partner relationships.
5. Event Participation and Registration
Members may receive preferential registration rates, priority access, or discounted pricing for events, workshops, seminars, and programs organized or sponsored by the Association ("Events"), with specific pricing and access determined by the Member's current membership tier at the time of registration. All event tickets, registrations, and related benefits are strictly non-transferable and may only be used by the registered Member unless the Association explicitly designates an event or benefit as transferable in writing. The Association reserves the right to verify Member identity at Events and may deny entry to individuals using transferred or unauthorized tickets. Event availability is subject to capacity limitations, and registration does not guarantee admission if capacity is reached. The Association may modify, reschedule, relocate, or cancel any Event at any time due to circumstances including but not limited to insufficient registration, force majeure, venue availability, or operational requirements, and in such cases the Association's sole obligation shall be to offer alternative participation options or refund registration fees at its discretion.
By attending Events, Members expressly consent to the Association's collection, use, and publication of photographs, video recordings, and audio recordings of the Event that may contain the Member's name, voice, image, and likeness for promotional, marketing, educational, and archival purposes across all media formats including the Association's website, social media channels, newsletters, and third-party publications. Members who wish to opt out of being photographed or recorded must notify the Association in writing at least forty-eight (48) hours prior to the Event or immediately upon arrival at the Event venue, and the Association will make reasonable efforts to accommodate such requests, though the Association cannot guarantee complete exclusion from all Event documentation. Members attending Events agree to conduct themselves professionally, comply with venue rules and the Association's Code of Conduct, and acknowledge that participation in Events is at their own risk. The Association is not liable for any injury, loss, damage, or harm occurring during or related to Event participation.
6. Payment Terms and Refund Policy
All membership fees must be paid in full at the time of application or renewal, and the Association accepts payment through Stripe or other third-party payment processors designated by the Association from time to time. Annual memberships and Lifetime memberships are non- refundable under any circumstances, including but not limited to voluntary resignation, involuntary termination, dissatisfaction with benefits, non-use of membership privileges, or changes to membership tier structures or benefits. Members acknowledge that payment of membership fees constitutes acceptance of all Terms and Conditions and waiver of any right to refund or chargeback. Enterprise memberships are governed by separate custom agreements negotiated directly with the Association, and payment terms, billing cycles, and refund provisions for Enterprise members are as specified in their individual agreements.
The Association utilizes Stripe and other trusted third-party payment service providers to process payments securely, and Members acknowledge that the Association does not store, access, or control payment card information. While the Association selects reputable payment processors, the Association makes no representations or warranties regarding the security, reliability, or performance of third-party payment services and expressly disclaims all liability for any payment processing errors, delays, security breaches, unauthorized charges, or technical failures occurring through third-party payment platforms. Members agree to resolve any payment disputes directly with the applicable payment processor and acknowledge that payment processing is subject to the processor's terms of service. All membership fees are quoted and charged in Thai Baht unless otherwise specified, and Members are responsible for any currency conversion fees, international transaction fees, or bank charges imposed by their financial institutions. The Association reserves the right to modify membership fees, payment methods, and billing terms at any time, with changes applicable to new memberships and renewals effective immediately upon posting to the Association's website.
7. Account Access and Security
Members are solely responsible for maintaining the strict confidentiality and security of their login credentials, including usernames, passwords, and any multi-factor authentication methods (“Member Account”), and must not share, disclose, or permit access to their Member Account by any unauthorized third parties. For individual membership tiers, Member Accounts are for the exclusive use of the registered individual Member only. For team-based membership tiers such as Pro, Startup, or Enterprise plans, the Member organization may authorize access for employees or team members up to the maximum number of users permitted under their specific tier, and the Member organization remains fully responsible and liable for all activities conducted through authorized user accounts.
Members must immediately notify the Association in writing of any suspected or actual unauthorized access, security breach, password compromise, or misuse of their Member Account. The Association reserves the right to suspend, disable, or terminate any Member Account if it reasonably suspects unauthorized use, credential sharing beyond permitted limits, security vulnerabilities, or violations of these Terms and Conditions. Members acknowledge that they are fully liable for all activities, content, communications, and transactions conducted through their Member Account, whether authorized or unauthorized, and agree to indemnify the Association for any losses, damages, or claims arising from Account misuse or security breaches attributable to the Member's failure to maintain credential confidentiality. The Association is not liable for any losses, damages, or unauthorized access resulting from the Member's failure to secure their login credentials, and Members waive any claims against the Association arising from credential compromise or account misuse.
8. Code of Conduct and Community Standards
The Association is committed to fostering a respectful, inclusive, safe, and professionalcommunity for all Members, guests, partners, and staff. The Association maintains acomprehensive Code of Conduct that sets forth detailed standards of behavior and communityexpectations, which is published on the Association's website and incorporated into these Termsand Conditions by reference. Members agree to comply with the Code of Conduct as publishedand as amended, modified, or supplemented by the Association from time to time at its sole andabsolute discretion. The Association may update the Code of Conduct at any time without priornotice, and the current version published on the Association's website shall govern Memberconduct effective immediately upon posting. Members are responsible for regularly reviewingthe Code of Conduct to remain informed of any changes, and continued membership followingany amendment constitutes acceptance of and agreement to the revised Code of Conduct.
Members are expected to conduct themselves professionally, courteously, and ethically at all Association Events, in online interactions including the member portal and social media channels, and in any context where they represent or associate with the Association. Prohibited conduct includes but is not limited to harassment, discrimination, bullying, intimidation, verbal or physical abuse, unwelcome sexual advances or comments, hate speech, threats of violence, disruptive behavior, theft, fraud, misrepresentation, defamation of other Members or the Association, violation of intellectual property rights, and any conduct that undermines the Association's mission, reputation, or community values.
Members must comply with all applicable laws and regulations in their interactions with the Association and other Members. Any Member who witnesses or experiences conduct that violates this Code of Conduct should report the incident to the Association promptly through the designated reporting channels provided on the Association's website or by contacting Association management directly. The Association will investigate reports in a timely and confidential manner to the extent practicable, though the Association cannot guarantee absolute confidentiality where legal obligations or safety concerns require disclosure. The Association reserves the sole and absolute discretion to determine whether conduct violates this Code of Conduct and to impose appropriate remedial actions, which may include but are not limited to verbal or written warnings, temporary suspension of membership privileges, mandatory participation in corrective programs, permanent termination of membership without refund, removal from Events, restriction from Association premises or platforms, and referral to law enforcement authorities where criminal conduct is suspected.
Members found in violation of this Code of Conduct waive any right to appeal the Association's decision or to receive a refund of membership fees, and agree that the Association's determination is final and binding. Members acknowledge that the Association is not obligated to conduct formal hearings or provide detailed explanations for enforcement actions, and the Association may take immediate action to protect the safety and integrity of the community. Members agree to indemnify and hold the Association harmless from any claims, damages, or liabilities arising from the Member's violation of this Code of Conduct or from any disputes between Members. The Association is not responsible for monitoring all Member interactions and is not liable for the conduct of Members or third parties, and Members participate in the community at their own risk.
9. Termination and Suspension of Membership
The Association reserves the right to suspend, terminate, or revoke any membership immediately and without prior notice at its sole and absolute discretion for any reason including but not limited to violations of these Terms and Conditions, breach of the Code of Conduct, misuse of member privileges or benefits, failure to pay membership fees, fraudulent activity, conduct detrimental to the Association's reputation or interests, or any behavior that the Association determines in its judgment to be inappropriate or harmful to the community. Upon termination or suspension by the Association, the Member's access to all membership benefits, the member portal, Events, partner benefits, and the member directory shall cease immediately, and the Member must cease representing any affiliation with the Association. No refund of membership fees shall be issued for memberships terminated or suspended by the Association regardless of the timing or reason for termination.
Members may voluntarily cancel their membership at any time by submitting written notice to the Association via email to hello@bkkstartup.com or through any other written communication method designated by the Association. Voluntary cancellation shall be effective upon the Association's receipt and written acknowledgment of the cancellation request, or within five (5) business days of submission, whichever occurs first. Members acknowledge and agree that no refunds of membership fees will be issued for voluntary cancellations under any circumstances, and Members remain obligated to fulfill any outstanding payment obligations through the end of their current membership term. Upon voluntary cancellation, the Member's access to membership benefits and privileges shall terminate on the effective cancellation date or at the end of the current paid membership period as determined by the Association.
Following termination or cancellation for any reason, Members must immediately cease using any Association intellectual property including logos, trademarks, or materials, return or destroy any confidential information or proprietary materials provided by the Association, and refrain from accessing the member portal or attempting to use membership benefits. Provisions of these Terms and Conditions relating to confidentiality, intellectual property, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive termination shall remain in full force and effect notwithstanding termination or cancellation of membership. Terminated Members may reapply for membership subject to the Association's sole discretion and approval process, and the Association reserves the right to refuse readmission to any former Member.
10. Modification and Amendment of Terms
The Association reserves the right to modify, amend, supplement, or replace these Terms and Conditions at any time and from time to time at its sole and absolute discretion without requiring Member consent. The Association will provide notice of material changes to these Terms and Conditions by posting the updated version on the Association's website with the effective date clearly indicated, and by notifying Members through one or more of the following methods as determined by the Association: email to the Member's registered email address, notification through the member portal, announcement at Association Events, or posting on the Association's official communication channels. The Association is not obligated to provide advance notice of changes, and modifications shall become effective immediately upon posting to the Association's website unless a different effective date is specified in the updated Terms and Conditions.
Members are responsible for regularly reviewing these Terms and Conditions to remain informed of any modifications. Continued use of membership benefits, access to the member portal, attendance at Events, or maintenance of active membership status following any modification constitutes the Member's binding acceptance of and agreement to the revised Terms and Conditions. If a Member does not agree with any modification, the Member's sole remedy is to voluntarily cancel their membership in accordance with the cancellation procedures set forth in these Terms and Conditions, and no refund will be issued for such cancellation. The Association's failure to enforce any provision of these Terms and Conditions or to exercise any right hereunder shall not constitute a waiver of such provision or right and shall not prevent the Association from enforcing such provision or exercising such right in the future.
